Section 234, The Companies Act, 2009

Directors shall not, without the approval of a specialresolution of the company, exceed the powers conferred upon them
by this Act and the company’s articles or exercise such powers for a
purpose different from that for which such powers were conferred
notwithstanding that they may believe such exercise to be in the best
interest of the company.
