Section 252, The Companies Act, 2009

(1) Unless otherwise provided in the articles a secretaryshall be appointed by the directors and, subject to the provisions of this section, may be summarily dismissed by them. (2) Where it is intended to summarily dismiss the secretary of a public company, the board of directors shall give him notice– (a) stating that it is intended to dismiss him; (b) setting out the grounds on which it is intended to summarily dismiss him; and (c) giving him a period not less than 7 working days within which to make his defence.
