Section 67, The Companies Act, 2009

If at any time a company ceases to have the number ofmembers provided in section 15 and it carries on business for more than 6 months without at least one member, every person who is a director of the company during the time it so carries on business after those 6 months shall be jointly and severally liable for the payment of all the debts and liabilities of the company incurred during that period.
