The Bank shall indemnify a member of the Board, staff oragentof the Bank against legal costs incurred in the defence of legal
action brought against the staff or agent in connection with the
discharge or purported discharge of official functions within the scope
of his employment or engagement under this Act; but the
indemnification shall not apply if the staff or agent has been convicted
of an offence arising out of the activities that are covered by the
legal action.
