Section 26: The Managing–Director shall be responsible to -

(a) provide overall leadership in the conduct and management of the day-to-day business or activities of the Company; (b) monitor and supervise the preparation of the annual budgets and reports of the Company for the review and approval of the Board; (c) oversee the work and discipline of other employees of the Company; (d) ensure the regular training and development of employees of the Company; and (e) carry out such other functions as may be assigned by the Board or necessary for the purposes of the Company. 18 19 Functions of Managing- Director.
