(1) There shall be a company secretary who shall besecretary to the Board appointed by the Board on such terms and
conditions as the Board shall determine.
(2) There shall be appointed by the Board such other
employees on such terms and conditions as the Board may determine
for the effective discharge of the functions of the company.
