The continuing Directors may act at any time notwithstanding anyvacancy in their body:
Provided always that in case the Directors shall at any time be reduced
in number to less than the minimum number prescribed by or in accordance
with these Articles, it shall be lawful for the continuing Directors or Director
to act for the purpose of filling up vacancies on the Board, or of summoning a
General Meeting of the Company, but not for any other purpose.

Borrowing
powers.
Non-member
voting rights.
Continuing
